Structure of Medway Community Estates

The company was incorporated in 2004.  As a public private partnership, the company has a structure and corporate governance which ensures probity and public accountability at every level.  It has also been structured so that both private sector and public sector shareholders are represented in all decision making processes and are able to provide investment in a proportionate way.

The company was formed following a European Procurement process by Medway Primary Care Trust to select a private sector partner (PSP).  This ensured that the PSP was appointed on the basis of providing best value for money and technical capability.

A Strategic Partnering Agreement (SPA) provides the basis for the terms of the relationship between Medway Community Estates and its public sector partners (Participants).  The SPA endures for a period of 20 years.

This long term relationship is monitored and controlled by a Strategic Partnering Board which is made up of representatives of each Participant (for further details please see the Participants link) and Medway Community Estates.

The scope of work governed by the SPA is set out within the European Procurement advertisement an extract as follows:

‘Partnering Services’ including property management procurement consultancy, architectural, engineering construction, technical and building services.

The company will also provide/manage the provision by its supply chain of a mixture of new build and refurbished serviced community based health and social care facilities under lease arrangement.  These may include: intermediate care facilities, health centres, resource centres, walk-in centres, drop-in centres, outpatient and diagnostic facilities, GP and dentists accommodation, pharmacies, facilities for allied health professionals, facilities for social inclusion and for the voluntary sector.

The company will provide the facilities to tenants on leases of services accommodation which meets defined standards throughout the lease term.  The PPP vehicle may also provide facilities management services (such as building maintenance and repair services) to other buildings within the contracting authorities’ estate’.
